The Insights Portal (Insights.vpsgroup.com) is a site operated by VPS Holdings Limited and its subsidiaries (the “VPS Group”, or “we”). VPS Holdings Limited is a company registered in England and Wales under company number 4835721 and its registered office is at Broadgate House Broadway Business Park, Chadderton, Oldham, OL9 9XA.
In these Terms of Use, when we refer to “you” we are referring to any customer of the VPS Group who is granted access to the Insights Portal by the VPS Group, together with any of the customer’s authorised users of the Insights Portal.
By using the Insights Portal you accept these terms of use
The information and content contained in the Insights Portal are provided subject to the following terms of use (the “Terms of Use”) and your access to, and use of, the Insights Portal constitutes complete acceptance of these Terms of Use and your agreement to comply with them. If you do not agree with these Terms of Use, you must not use the Insights Portal.
We reserve the right at any time to vary these Terms of Use. Every time you wish to use the Insights Portal, please check these Terms of Use to ensure you understand the terms that apply at the time. Using or continuing to use the Insights Portal will constitute acceptance of these Terms of Use in force as at the date of use.
To the extent that any part of these Terms of Use is found to be invalid unlawful or unenforceable by any court of competent jurisdiction then the relevant part shall be deemed to and shall be modified to the extent required to make it valid lawful or enforceable (or shall if necessary be severed from the remaining provisions) and all other provisions shall be unaffected and shall remain in full force and effect.

Your use of the Insights Portal is also subject always to the terms of your contract with the VPS Group. In the event of any conflict between these Terms of Use and your contract with the VPS Group, your contract with the VPS Group will take priority.
We may amend, suspend or withdraw the Insights Portal
We reserve the right to vary and update the Insights Portal at any time to reflect changes to our products and services, our users’ needs and our business priorities, or for any other reason.
The Insights Portal is made available free of charge. We do not guarantee that the Insights Portal, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our site for business and operational reasons. We also reserve the right to suspend the Insights Portal for maintenance at any time at our sole discretion. We also reserve the right at our sole discretion to disable any accounts that are not regularly used or active.
We do not guarantee that the Insights Portal will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programmes and platform to access the Insights Portal. You must use your own virus protection software. You must not misuse the Insights Portal by knowingly introducing viruses or other malicious or technologically harmful material. You must not attempt to gain unauthorised access to the Insights Portal.
Users of the Insights Portal
The Insights Portal may only be used by customers of the VPS Group who have a live and current contract for the delivery of products or services. Upon the termination of this contract, your use and access to the Insights Portal will be terminated and you will no longer have access to any content or data on the Insights Portal. The Insights Portal may not be accessed or used by any party that is not a customer of the VPS Group, including any competitor.
If you have been chosen or nominated to be an administrator within your organisation (the “Administrator”) you have the ability to grant access to the information on the Insights Portal to your employees who will become “users” of the Insights Portal (the “Authorised Users”).
If you are an Administrator, you are required to take the necessary steps to ensure the user accounts under your control are managed appropriately, including the removal of the account when the user leaves your organisation or no longer requires access to the Insights Portal. The Administrator must at all times maintain a correct and up to date record of all of its Authorised Users. The Administrator is also responsible for ensuring that all persons who access the Insights Portal through your company’s internet connection are aware of these Terms of Use and other applicable terms and conditions, and that they comply with them. The Administrator is responsible for ensuring that all Authorised Users use the Insights Portal in compliance with these Terms of Use, and is responsible for any failure by any of its Authorised Users to do so.
You may only make reasonable use of the Insights Portal, and you are not permitted to have any automated processes running against the Insights Portal, or otherwise take any action to interfere with, or otherwise disrupt, the operation of the Insights Portal.
You must keep your account details confidential and not disclose these to any third parties. We reserve the right to disable any user at any time, if in our reasonable opinion that user has failed to comply with any provision of these Terms of Use. You acknowledge and agree that the Insights Portal may contain commercially confidential and sensitive information about the services being provided to you by the VPS Group (for example, the key number for a lock box on your property). While the VPS Group will take all commercially reasonable technical steps to maintain the security of the Insights Portal, you acknowledge and agree that it is your responsibility (and the responsibility of the Authorised Users) to keep your account log-in details secure at all times.
Content on the Insights Portal
Without limiting the foregoing paragraphs, everything on the Insights Portal is provided to you "as is" and "as available" without warranty of any kind, either expressed or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement of intellectual property rights of third parties. The VPS Group reserves the right (at any time and without notice) to add to remove update or vary any of the information that is made available on the Insights Portal.
The content on the Insights Portal is not made available for any specific purpose. The information is made available as it appears and is without any term condition or warranty (express implied or otherwise) as to its accuracy or completeness or as to the absence of any errors or omissions or as to its suitability for use for any use or any particular purpose. Any such terms conditions warranties or otherwise are excluded to the extent permitted by law. You acknowledge and agree that the content on the Insights Portal may be made available from other systems and programmes operated by the VPS Group, and therefore we do not guarantee the accuracy of the content. Any other documents or data provided to you by the VPS Group in connection with any products or services being provided to you by the VPS Group (for example, an invoice) will take priority and supersede any similar data available on the Insights Portal.
The information made available on the Insights Portal is not intended to and does not constitute an invitation or inducement to enter into any agreement in respect of any business product or service provided by the VPS Group. The content on the Insights Portal (including any reports, documents or other data or information that you download) is provided for general information only. It is not intended to amount to advice on which you should rely. We make no representations, warranties or guarantees, whether express or implied, that the content on the Insights Portal is accurate, complete or up to date.
The Insights Portal may contain hypertext-links to third party websites. The VPS Group has not reviewed and does accept any responsibility for any information (and does not endorse any business product or service) that may be found at other websites. The VPS Group is not responsible for any form of cached content captured from its websites. Any user-generated content which may be added to the Insights Portal has also not been verified or approved by the VPS Group.
Unless otherwise stated, the VPS Group owns the intellectual property rights in the Insights Portal and in the information and material published or otherwise made available on the Insights Portal. Any copyrighted material or any image or trademark are protected by law and may not be used or reproduced without the written permission of its owner. Unless otherwise stated you may reproduce information made available at this website for your personal use provided that any relevant copyright trademark or disclaimer or other notices are not removed. Unless specifically authorised all other use of copyrighted material or trademarks is prohibited. You may not use any part of the content of the Insights Portal for commercial purposes.
Our responsibility for loss or damage
Neither the VPS Group nor any other party involved in creating, producing, or delivering the Insights Portal will be liable for any direct, incidental, consequential or indirect loss or damages suffered by you or any of your Authorised Users arising out of the access to, or use of, the Insights Portal, including, but not limited to, your use or inability to use the Insights Portal, or your use or reliance on any content displayed on the Insights Portal. In particular, we will not be liable for any loss of profits, sale, business or revenue; business interruption; loss of anticipated savings; loss of business opportunity, goodwill or reputation.
We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, and for fraud or fraudulent misrepresentation.
Your use of the Insights Portal is subject at all times to the limitations and exclusions of liability which are set out in the contract between you and the VPS Group, in relation to the supply of goods and services by the VPS Group to you.
Other terms
Any failure by the VPS Group to insist upon or enforce strict performance of any provision of these Terms and Conditions shall not be construed as a waiver of any provision or right.
These Terms of Use are governed by the laws of England and Wales and the English courts have exclusive jurisdiction in the event of dispute.
